The information provided herein is intended for only the persons to whom the necessary permissions have been given. You shall maintain NRP Information in confidence using such measures as you accord your own information of a similar nature and, in any event, shall exercise your best efforts to protect the NRP Information. You agree that the NRP Information shall be used solely for the purposes of promoting and selling NRP products and services (the “Permitted Purposes”) and, except for such limited purposes, such information shall not be used for another other purpose, or for your own benefit; nor shall such information be disclosed to any third party. You may disclose the NRP Information only to your employees solely for the Permitted Purposes, provided that your employees agree to be bound by the terms of this agreement, with the express understanding that by making such a disclosure you shall be liable for the acts or omissions of your employees and any and all other persons to whom you disclose the NRP Information. Your dissemination of the NRP Information shall be limited to those employees of yours whose duties justify their need to know the NRP Information. You agree to indemnify, defend and hold harmless NRP from any damages, costs, liabilities or expenses (including reasonable attorney fees of in-house or outside counsel) arising from, or relating to, any breach by you or your employees of the obligations herein. You further acknowledge and agree that the unauthorized disclosure of the NRP Information will result in irreparable injury to NRP and shall entitle NRP to receive injunctive relief in any legal proceeding instituted by NRP, without any requirement that NRP post a bond. © 2008 National Recognition Products, Inc.
